OCOCHI B2B Terms & Conditions

These Terms and Conditions (“T&C’s”) govern the supply of products by OCOCHI (“we”, “us”, “our”) to B2B clients (“you”, “your”) who purchase products for various purposes, including but not limited to resale, display, or use in commercial settings such as retail stores, interior designers, mattress companies, hotels, gift stores, bedding companies, and other businesses. These terms apply to products purchased whether under your own private/white label or the OCOCHI label. This also applies to anyone receiving wholesale discounts, trade discounts, or special pricing.

All products purchased from OCOCHI are non-returnable unless the product is faulty. Faulty or damaged items must be reported to OCOCHI within 7 days of receipt. After this period, no returns will be accepted. This applies regardless of whether the products are intended for resale, display, or other commercial use, including hotel bedding and other similar applications.

In the event of a defect, please provide photos of the issue. We will then determine whether the item requires further investigation. If yes, we will provide a prepaid returns label.

OCOCHI will assess the item’s condition. If the product is deemed faulty, OCOCHI may offer a replacement, repair, or credit at its sole discretion. If the product is not deemed faulty, the item will be shipped back to the client.

Please note, OCOCHI does not accept returns for buyer’s remorse, incorrect orders, or unsatisfactory product performance once the products have been delivered and accepted, regardless of whether the product is for resale, display, or hotel bedding use, or whether it is under your private/white label or OCOCHI label.

Upon receipt of the products, you are responsible for inspecting all items for damages, discrepancies, and defects. Any claims for damaged or defective products must be made within 7 days of receipt. Claims made after this period will not be accepted. Shipping costs for defective items, when applicable, will be covered by OCOCHI.

If you choose to resell or use products under your own private or white label, you are solely responsible for ensuring that the products meet any applicable regulations and industry standards. You may not alter or modify the product in any way that could jeopardize the quality, safety, or integrity of the original product unless prior written consent is obtained from OCOCHI.

Products purchased from OCOCHI, whether for resale, display, or use in commercial settings such as hotels or other businesses, are intended for those specific purposes.

You may not alter, modify, or rebrand the products in any way without prior written consent from OCOCHI, unless those products are being sold under your own private or white label and have been approved by OCOCHI for such modifications. Any unauthorized changes to the products could result in the termination of your wholesale account with OCOCHI.

OCOCHI provides guidelines for pricing on all products, including OCOCHI label, white label, and private label products.

Unless specified as included in the wholesale price, pricing does not include duties or customs that apply to international orders, outside of the USA. These are the responsibility of the client.

Payments are due according to the terms outlined in the invoice. Shipping costs will be invoiced prior to shipment, and clients must pay for shipping before the products are dispatched. Late payments will incur a late fee, and OCOCHI reserves the right to suspend or terminate further orders until payment is made in full.

OCOCHI is not liable for any delays caused by third-party carriers, customs, or unforeseen events. Delivery times are estimates and may vary.

Once an order has been placed (whether for non-custom or custom items) and payment has been made for the product invoice (including but not limited to any deposit and/or the full amount, as stipulated in the terms of each specific project or agreement with the client), cancellations shall not be permitted under any circumstances.

You agree to indemnify and hold OCOCHI harmless from any claims, damages, or losses arising from the use, resale, or distribution of products purchased from OCOCHI, including any legal action resulting from reselling defective or misrepresented products, including those resold under your own private/white label, the OCOCHI label, or used for display or commercial purposes like hotel bedding.

OCOCHI will not be held liable for any failure to perform under these T&C’s due to circumstances beyond our control, including but not limited to acts of God, natural disasters, labor disputes, or shipping delays.

OCOCHI reserves the right to modify these T&C’s at any time. Any changes will be communicated to clients, and continued business will be subject to the updated terms.

By purchasing products from OCOCHI, whether for resale, display, or commercial use (including hotel bedding or other similar applications), and whether under your private/white label or the OCOCHI label, you acknowledge and agree to these Terms and Conditions.
